TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE CREATING AN ACCOUNT, ACCESSING, OR USING STUDIO MANAGEMENT PRO.

These Terms of Service ("Terms", "Agreement") govern the access to and use of the Studio Management PRO software application, websites, mobile interfaces, APIs, and associated online services (collectively, the "Platform" or "Services") owned and operated by 4Sight Designz Ltd., a corporation incorporated under the laws of Trinidad and Tobago ("Company", "4Sight", "we", "us", or "our").

These Terms apply to all visitors, account holders, studio managers, instructors, students, dancers, parents, guardians, and other end users who register for, access, or use Studio Management PRO ("User", "you", or "your").

1. ACCEPTANCE OF TERMS

By registering for an account, checking an electronic "I Agree" checkbox, logging into the Platform, or otherwise accessing or using Studio Management PRO, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our [Privacy Policy], [Acceptable Use Policy], and [Refund Policy].

If you are accepting these Terms on behalf of a dance studio, academy, business entity, or organization, you represent and warrant that you have full legal authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to all provisions of these Terms, you must not access or use the Platform.

2. ELIGIBILITY

To access or use Studio Management PRO, you must:

Be at least eighteen (18) years of age (or the legal age of majority in your jurisdiction) to register a primary studio management account or enter into financial subscriptions.
If you are a student, dancer, or user under eighteen (18) years of age, you may only access student portals or class rosters with the explicit authorization, consent, and supervision of a parent or legal guardian.
Not be barred from receiving services under the laws of Trinidad and Tobago or other applicable international jurisdictions.

3. ACCOUNTS & REGISTRATION

3.1 Account Creation

To access the platform's functionality, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your profile information updated at all times.

3.2 Account Types & Roles

Studio Management PRO operates as a multi-tenant platform with role-based access control:

Studio Owner / Administrator: Controls tenant settings, subscription billing, staff management, and studio operations.
Instructor / Teacher: Accesses assigned class rosters, attendance logs, workshop schedules, and student lists.
Student / Parent: Views enrolled classes, schedules, attendance records, and payment history.

3.3 Accuracy of Information

You are strictly responsible for maintaining the accuracy of your account information. 4Sight Designz Ltd. is not responsible for any issues, delivery failures, or billing errors resulting from out-of-date or inaccurate contact details.

4. ACCOUNT SECURITY & RESPONSIBILITIES

4.1 Credential Protection

You are responsible for maintaining the confidentiality of your account login credentials (username, password, single sign-on tokens, and two-factor authentication codes). You must not share your account password or access tokens with unauthorized third parties.

4.2 Account Activity

You are solely responsible for all activities, bookings, transactions, and content uploaded or performed under your account credentials. You agree to immediately notify 4Sight Designz Ltd. at security@4sightdesignz.com upon discovering any unauthorized account access, credential compromise, or security breach.

4.3 Identity Misrepresentation

You must not impersonate another person, studio owner, instructor, or student, or create an account for anyone other than yourself or an entity you are legally authorized to represent.

5. SUBSCRIPTIONS & FEES

5.1 Plan Tiers

4Sight Designz Ltd. offers Studio Management PRO across various subscription plan tiers (e.g., Free, Starter, Growth, Enterprise). Plan specifics, including allowed student counts, instructor profiles, storage allocations, and module access, are detailed during checkout or on our official pricing pages.

5.2 Subscription Modifications

4Sight Designz Ltd. reserves the right to modify, adjust, or discontinue plan features or pricing structure. Any material price changes will be communicated to account administrators with at least thirty (30) days' advance notice before taking effect on subsequent billing cycles.

6. BILLING & AUTOMATIC RENEWALS

6.1 Recurring Billing

Paid subscriptions operate on a recurring billing cycle (e.g., monthly or annually). By subscribing to a paid tier, you authorize 4Sight Designz Ltd. to charge your chosen payment method or issue recurring invoices automatically at the beginning of each billing cycle until canceled.

6.2 Automatic Renewals

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE UNLESS YOU CANCEL YOUR SUBSCRIPTION AT LEAST FOURTEEN (14) DAYS PRIOR TO THE RENEWAL DATE.

SUBSCRIPTION RENEWAL TIMELINE

7. PAYMENT METHODS

Studio Management PRO accepts payments via the following methods:

WiPay Payment Gateway: Online payment processing using credit cards, debit cards, or regional payment solutions. Transactions processed via WiPay are subject to WiPay's standard terms and processing conditions.
Direct Bank Transfer: Electronic Funds Transfer (EFT) or direct bank deposit to official 4Sight Designz Ltd. accounts. Bank transfer receipts must be submitted via the designated platform invoice portal for manual or automated verification before subscription credit is applied.

All monetary amounts are billed in United States Dollars (USD) or Trinidad and Tobago Dollars (TTD), as indicated during plan selection.

8. FREE TRIALS & PROMOTIONS

8.1 Trial Eligibility

4Sight Designz Ltd. may offer free trial periods for new studio accounts. Eligibility for a free trial is determined solely by 4Sight Designz Ltd.

8.2 Trial Conversion

At the end of a free trial period, your access to paid platform features will expire unless you select a paid Subscription Plan and submit an authorized payment method. If no paid plan is selected, your account may be automatically downgraded to a free tier or restricted.

9. CANCELLATION

Account administrators may cancel a subscription at any time through the Studio Management PRO account dashboard or by submitting a written request to support@4sightdesignz.com.

Upon cancellation:

You will retain access to your paid subscription features through the end of your current pre-paid billing period.
Your subscription will not renew at the next billing cycle.
No partial or pro-rated refunds will be issued for unused days within an active billing cycle, except as outlined in our [Refund Policy].

10. TERMINATION & ACCOUNT SUSPENSION

10.1 Termination by 4Sight

4Sight Designz Ltd. reserves the right, in its sole discretion, to suspend or terminate your account, restrict access to the Platform, or remove content if:

You fail to pay due subscription fees past the grace period.
You breach any provision of these Terms or the [Acceptable Use Policy].
Your usage poses an operational risk, security vulnerability, or legal liability to 4Sight Designz Ltd. or other platform tenants.
Required by law enforcement or regulatory order.

10.2 Effect of Termination

Upon account termination, your license to access and use Studio Management PRO immediately ceases. 4Sight Designz Ltd. will hold your studio data for thirty (30) days following termination, during which you may request a data export. After thirty (30) days, 4Sight Designz Ltd. reserves the right to permanently delete your account data.

11. INTELLECTUAL PROPERTY RIGHTS

11.1 Proprietary Ownership

All right, title, and interest in and to Studio Management PRO—including its software code, website designs, graphics, branding, logos, workflows, interfaces, databases, and operational algorithms—are and remain the exclusive property of 4Sight Designz Ltd. and its licensors.

11.2 Limited License Grant

Subject to your compliance with these Terms, 4Sight Designz Ltd. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Studio Management PRO solely for your internal studio operations during your active subscription term.

11.3 Restrictions

You must not:

Copy, modify, duplicate, alter, or create derivative works of the Platform.
Reverse engineer, decompile, or disassemble any source code or underlying structure.
Rent, lease, resell, sublicense, or offer the Platform as a standalone service bureau to third parties.
Remove, obscure, or alter any trademark, copyright, or legal notices displayed within the Platform.

12. PLATFORM AVAILABILITY & SERVICE MODIFICATIONS

12.1 Service Availability

While 4Sight Designz Ltd. strives to maintain uninterrupted, high-availability access to Studio Management PRO, we do not guarantee that the Platform will be 100% error-free or uninterrupted. Operational outages may occur due to regular system maintenance, infrastructure updates, cloud network failures, or emergency patches.

12.2 Platform Updates

We continuously improve Studio Management PRO. 4Sight Designz Ltd. reserves the right to add, modify, or remove features, modules, user interfaces, or functionality at any time.

13. THIRD-PARTY SERVICES & INTEGRATIONS

Studio Management PRO may integrate with or link to third-party services, applications, and tools, including but not limited to:

Payment Gateways: WiPay, Stripe.
Communication & Messaging: Meta WhatsApp Business API, Resend, SendGrid.
Productivity & Calendars: Google Calendar API, Zoom API.
Accounting Platforms: Zoho Books API, Manager.io export formats.

4Sight Designz Ltd. does not control, endorse, or assume responsibility for any third-party services. Your interactions with third-party providers are governed exclusively by their respective terms of service and privacy policies.

14. PROHIBITED ACTIVITIES

When accessing or using Studio Management PRO, you agree not to engage in any prohibited activities as detailed in our [Acceptable Use Policy], including:

Transmitting viruses, malware, trojans, or malicious software code.
Attempting unauthorized access to other tenants' databases, accounts, or server infrastructure.
Sending unsolicited bulk messaging, spam, or abusive communications via integrated messaging modules.
Uploading content that is illegal, defamatory, fraudulent, threatening, or infringing upon third-party intellectual property or privacy rights.

15. USER CONTENT & STUDIO DATA

15.1 Ownership of User Content

You retain full ownership of all Studio Data, student records, rosters, schedules, documents, logos, and images uploaded or created by you within Studio Management PRO ("User Content").

15.2 License to 4Sight

By uploading User Content to the Platform, you grant 4Sight Designz Ltd. a worldwide, non-exclusive, royalty-free license to host, transmit, display, back up, and process such content solely as required to operate, maintain, and provide the Services to you and your Authorized Users.

15.3 Responsibility for Content

You are solely responsible for verifying the accuracy, legality, and permissions associated with all User Content uploaded to your account, including obtaining requisite consents from students and parents.

16. TECHNICAL SUPPORT & MAINTENANCE

Technical support is provided to active subscription holders via:

In-app ticketing and portal help desks.
Email support delivered via support@4sightdesignz.com.

Support response times and availability vary based on your active Subscription Plan tier. Standard maintenance windows are scheduled during off-peak hours where feasible.

17. WARRANTY DISCLAIMER

EXCEPT AS EXPRESSLY PROVIDED HEREIN, STUDIO MANAGEMENT PRO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

4SIGHT DESIGNZ LTD. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE SERVICE. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR SPECIFIC OPERATIONAL REQUIREMENTS OR THAT ANY DATA STORED THEREIN WILL BE IMMUNE FROM LOSS OR CORRUPTION.

18. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 4SIGHT DESIGNZ LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, WORK STOPPAGE, COMPUTER FAILURE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE STUDIO MANAGEMENT PRO.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF 4SIGHT DESIGNZ LTD. ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO 4SIGHT DESIGNZ LTD. FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

19. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless 4Sight Designz Ltd., its officers, directors, employees, contractors, and agents from and against any third-party claims, demands, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

Your access to or use of Studio Management PRO.
Your violation of these Terms or the [Acceptable Use Policy].
Your violation of any third-party right, including intellectual property, privacy, or statutory rights.
Any dispute between you and your students, instructors, or studio clients.

20. FORCE MAJEURE

4Sight Designz Ltd. shall not be liable for any delay, performance failure, or platform interruption resulting directly or indirectly from acts of God, natural disasters, utility failures, telecommunication line failures, power grid collapses, cyber-attacks, riots, embargoes, acts of civil or military authorities, or other events beyond our reasonable control.

21. GOVERNING LAW & DISPUTE RESOLUTION

21.1 Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to them or Studio Management PRO shall be governed by, construed, and enforced in accordance with the laws of the Republic of Trinidad and Tobago, without regard to conflict of law principles.

21.2 Dispute Resolution

In the event of a legal claim or dispute:

Informal Resolution: Both parties agree to attempt to resolve any dispute through informal, good-faith negotiations for a period of at least thirty (30) calendar days.
Formal Jurisdiction: If the dispute cannot be resolved informally, both parties consent to the exclusive jurisdiction and venue of the High Court of Justice of Trinidad and Tobago.

22. CHANGES TO THESE TERMS

4Sight Designz Ltd. reserves the right to update or modify these Terms at any time. When updates occur, we will revise the last_updated date at the top of this document and notify account administrators via email or in-app dashboard alerts at least thirty (30) days prior to the effective date of material changes.

Your continued access to or use of Studio Management PRO after updated Terms become effective constitutes your acceptance of the revised Terms.
